click to open Parent Company name change

On 14 February 2020 we announced our plan to rename our parent company from The Royal Bank of Scotland Group plc (RBS) to NatWest Group plc (NatWest Group). The name change took effect from 22 July 2020 and was announced to the market on that date.

Why did the Group change its name?
Given the Group’s progress, its solid financial footing and its forward-looking customer focused strategy, the Board of Directors (Board) considered that it was the right time in 2020 for the Group’s name to reflect the brand under which the majority of its business is delivered: NatWest.

What happened to the ordinary and/or preference shares I held in the Group before the name change?
The ordinary and/or preference shares you held in the Group prior to the name change (‘RBS shares’) continue to exist. However following the legal name change, the RBS shares became shares in NatWest Group. There was no change to nominal value or structure of your shareholding as a result of the change of name.

Any debt instruments issued in the name of RBS became debt instruments in the name of NatWest Group. The change of name did not result in any change of issuer or guarantor under any outstanding externally-issued debt instruments, including the debt instruments issued by NatWest Markets Plc (some of which were guaranteed by RBS), NatWest Markets N.V. and National Westminster Bank Plc. No action was required on the part of any equity or debt holders with respect to their rights as an equity or debt holder.

What happened to the share price?
This was a legal name change. The share price is influenced by many factors and can go up as well as down.

Were new share certificates issued?
If you held your RBS shares in certificated form, you won’t have received a new share certificate in the new company name as your existing share certificate(s) remained valid. Any share certificates issued after the legal change of name were in the name of NatWest Group plc.

Are the shares still listed on the London and New York Stock Exchanges?
Yes, the Group’s ordinary shares continue to be listed on both the London Stock Exchange (LSE) and the New York Stock Exchange (NYSE). Trading in NatWest Group’s ordinary shares on the LSE, under the new name and an updated ticker (NWG), commenced on 23 July 2020. Trading in NatWest Group’s ADRs on the NYSE, under the new name and an updated ticker (NWG), also commenced on 23 July 2020.

There was no change to the American Depositary Receipt (ADR) ratio following the change of name.

Will I still receive dividends?
Any dividends in respect of the ordinary shares and the 5.5 per cent and the 11 per cent preference shares will be declared and paid by NatWest Group plc.

Did the change of name affect the Annual General Meeting (AGM)?
Any general meetings will be held by NatWest Group plc.

Will future AGMs be held in London/England?
There are no plans to move the AGM from Gogarburn. The Group continues to be domiciled in Scotland following the legal change of name and the AGM will continue to be held at the Group’s offices there.
